1. Acceptance
These Terms of Service are an agreement between you and Token Metrics Media LLC and its affiliates (“Token Metrics,” “we,” “us,” or “our”). By accessing or using the service, you agree to these Terms and our Privacy Policy.
If you use the service for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree to these Terms, do not use the service.
2. The Service
Token Metrics provides crypto market content and related services, including Daily Pulse, newsletters, podcasts, videos, research, alerts, Q&A digests, playbooks, premium reports, Discord community access, customer support, and $TMAI-based access checks.
Service names, features, prices, tiers, trial periods, access channels, and publishing cadence may change over time. Current public positioning includes Daily Pulse, Signal, Alpha, The Roundtable, and $TMAI access, but availability can vary by region, platform, subscription status, operational constraints, and compliance requirements.
3. Eligibility and Accounts
- You must be at least 18 years old, or the age of majority where you live, to use paid services or token-access features.
- You are responsible for keeping account, email, wallet, Discord, and payment information accurate and secure.
- You are responsible for all activity under your account or connected access credentials.
- We may refuse, suspend, or terminate access where required by law, platform rules, risk controls, payment status, abuse prevention, or these Terms.
4. Subscriptions, Trials, Billing, and Cancellations
Paid plans may include monthly, quarterly, annual, trial, promotional, or gift options. Prices, taxes, included features, trial lengths, renewal dates, and cancellation rules are shown at checkout or in the customer portal and are incorporated into these Terms.
- Renewals: Unless stated otherwise, paid subscriptions renew automatically until canceled.
- Trials: Trial access may convert to a paid subscription unless canceled before the trial ends.
- Cancellations: You can cancel through the applicable customer portal or support flow. Cancellation stops future renewals but does not necessarily create a refund for the current billing period.
- Refunds: Refund eligibility may depend on the offer, payment processor, date of purchase, usage, abuse-prevention rules, and applicable law. We may grant or deny refunds at our discretion unless the checkout terms or law require otherwise.
- Failed payments: We may suspend or reduce access if payment fails, a chargeback is opened, or billing information is invalid.
5. $TMAI Access
Token Metrics may allow users to unlock or maintain certain service tiers by holding specified amounts of $TMAI or by satisfying other token-access criteria. Token-access checks may rely on wallet addresses, public blockchain data, snapshots, smart-contract data, third-party infrastructure, manual review, or other verification methods.
Important: $TMAI access is a service-eligibility mechanism. It is not an investment recommendation, not a promise of token value, not a promise of liquidity, not a promise that any exchange will support the token, and not a promise that token-access rules will stay the same forever.
You are responsible for wallet security, private keys, taxes, network fees, transaction errors, bridge or exchange risk, local-law compliance, and verifying contract addresses before transacting. We are not responsible for lost keys, wrong-chain transfers, exchange restrictions, wallet compromise, gas fees, slippage, market losses, or public-chain activity outside our control.
6. Market Risk and No Advice
Token Metrics content is for education and information only. It does not provide individually tailored investment, legal, tax, accounting, or financial advice. We do not act as your broker, dealer, investment adviser, fiduciary, tax adviser, lawyer, or financial planner.
Crypto assets, tokens, prediction markets, DeFi, NFTs, and related products are highly risky and volatile. You can lose money, including the entire amount you put at risk. Past performance, backtests, alerts, research, scenarios, watchlists, or examples do not guarantee future results.
You are solely responsible for your decisions, due diligence, risk management, custody, taxes, and compliance with laws that apply to you.
7. Content, Intellectual Property, and License
The service, including text, reports, charts, graphics, logos, images, audio, video, software, workflows, prompts, designs, and other materials, is owned by Token Metrics or its licensors and is protected by intellectual-property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the service for your personal or internal business use. You may not copy, resell, redistribute, scrape, syndicate, train models on, or create competing products from Token Metrics content unless we give written permission.
You may share public Token Metrics links in a reasonable way. Paid, gated, private, Discord-only, or subscriber-only content may not be forwarded, reposted, sold, or distributed outside the access group that received it.
8. User Content and Feedback
If you submit messages, support requests, comments, feedback, wallet evidence, documents, or other materials, you grant Token Metrics a worldwide, non-exclusive, royalty-free license to host, process, store, reproduce, and use that content as needed to operate, improve, support, and protect the service.
You represent that you have the rights needed to submit your content and that your content does not violate law, third-party rights, platform rules, or these Terms.
9. Acceptable Use
You may not:
- Use the service for unlawful, harmful, abusive, fraudulent, or deceptive activity.
- Share paid or private content outside the authorized audience.
- Reverse engineer, scrape, crawl, copy, benchmark for a competing service, or overload the service without permission.
- Attempt to bypass paywalls, role checks, token-access checks, rate limits, security controls, or geographic restrictions.
- Use bots, automation, or multiple accounts to abuse trials, promotions, referrals, Discord access, or support workflows.
- Upload malware, exploit vulnerabilities, interfere with service operation, or access data you are not authorized to access.
- Harass, threaten, impersonate, spam, or violate community rules in Token Metrics channels.
10. Third-Party Services and Links
The service may include links, embeds, integrations, payment processors, Discord, email platforms, podcast platforms, social platforms, wallets, blockchains, exchanges, analytics providers, support tools, and other third-party services. We do not control third-party services and are not responsible for their content, actions, availability, security, fees, or policies.
Venue availability, token listings, wallet support, exchange links, or third-party references are shown for convenience and do not mean Token Metrics endorses or recommends that service.
11. Availability, Changes, and Beta Features
We may add, remove, suspend, limit, or change features, tiers, channels, prices, publishing cadence, token-access thresholds, integrations, and eligibility rules. Some features may be experimental, delayed, unavailable, inaccurate, or discontinued.
We are not responsible for delays or failures caused by third-party platforms, blockchains, wallets, exchanges, payment providers, email deliverability, cloud providers, Discord, network outages, force majeure events, or events outside our reasonable control.
12. Disclaimers
The service is provided “as is” and “as available.” To the maximum extent permitted by law, Token Metrics disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.
We do not warrant that content will be complete, current, error-free, profitable, or suitable for your specific goals. You should independently verify information before relying on it.
13. Limitation of Liability
To the maximum extent permitted by law, Token Metrics and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for trading losses, investment losses, token losses, lost data, lost access, business interruption, or reputational harm.
To the maximum extent permitted by law, our total liability for any claim relating to the service will not exceed the greater of (a) the amount you paid Token Metrics for the service giving rise to the claim during the three months before the event, or (b) $100.
14. Indemnity
You agree to defend, indemnify, and hold harmless Token Metrics and its affiliates, officers, employees, contractors, licensors, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from your use of the service, your content, your violation of these Terms, your violation of law, or your violation of third-party rights.
15. Termination
You may stop using the service at any time. We may suspend or terminate access at any time if we believe you violated these Terms, created risk, failed to pay, abused the service, violated community rules, or if continued access would be unlawful or harmful.
Sections that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, liability limits, indemnity, dispute provisions, and provisions needed to enforce these Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, unless applicable law requires otherwise.
Before filing a claim, you agree to contact us at support@tokenmetrics.com so we can try to resolve the issue informally. If an informal resolution is not possible, disputes will be handled in the state or federal courts located in Texas, unless applicable law requires another forum.
